In the opinion of the Board of Directors, the Board should include eight members elected by the general meeting. According to Danish law, company employees are entitled to select a number of representatives equal to half the number of members elected by the general meeting.

Period of service
Members of Danske Bank's Board of Directors who are elected by the general meeting are elected for one-year terms, but they may be re-elected several times. A director whose term has expired may stand for re-election, or the Board may propose a new candidate. Directors must resign at the first annual general meeting held after they have attained the age of 70, at the latest.

Nomination
A special nomination committee considers candidates for nomination to the Board proposed by relevant persons, including shareholders and members of the Executive Board and the Board of Directors. The committee recommends candidates to the Board of Directors.

Alternative candidates
Shareholders may propose other candidates by submitting a proposal for inclusion on the agenda or by proposing a candidate at the general meeting. Proposing a candidate at the general meeting is also permitted since this does not add a new item to the agenda.

Election
Directors are elected by simple majority.
