Danske Bank issues capped floating rate notes

Company Announcement No. 31/2013

Danske Bank has decided to issue notes with a coupon linked to the 3m CIBOR Danish money market rate. The notes are designated “Danske Bank Capped Floater 2019” (ISIN DK0030330907).

The subscription period runs from 27 December 2013 to 10 January 2014 (both days included). Danske Bank may close the subscription before expiry of the subscription period.

The notes are denominated in Danish kroner.

The notes are issued at a price of 100.30 (indicatively) and will be redeemed at par at maturity on 15 January 2019.

The coupon is paid quarterly on 15 January, 15 April, 15 July and 15 October each year, beginning on 15 April 2014 and ending on 15 January 2019.

The coupon is determined as 3m CIBOR plus a margin of 0.65%, subject to a maximum of 4.65%. The 3m CIBOR observed on the third last  business day before each interest payment period is the basis for the coupon calculation.

The issue price is fixed on 13 January 2014, at the latest, on the basis of market conditions and will be specified in the Applicable Final Terms. If the issue price cannot be fixed at 101.00% or less, the issue will be cancelled.

If the total amount subscribed for is lower than DKK 30,000,000.00, Danske Bank reserves the right to cancel the issue.

The notes are issued under Danske Bank’s EUR 5,000,000,000 Structured Note Programme dated 21 June 2013.

The notes will be issued on 15 January 2014 and will mature on 15 January 2019. The notes will be registered with VP Securities A/S, and Danske Bank will file an application for the notes to be listed on NASDAQ OMX Copenhagen A/S from 15 January 2014.
